$90 million deal connects NA food giants, drives bakery growth

MONTREAL — METRO Inc., a Canadian food and pharmacy leader, and FGF Brands, a North American family-owned, private bakery company, are entering a strategic partnership including Première Moisson Group, a subsidiary of METRO.

As part of the transaction, FGF will acquire the business’ production facility located in Baie-D’Urfé, Quebec, for a total of $90 million.

“We are pleased to bring our baking expertise to METRO and to Première Moisson, a brand renowned for the quality of its products and craftsmanship,” said Ojus Ajmera and Tejus Ajmera, co-CEOs and co-founders of FGF. “This partnership allows us to leverage our manufacturing and innovation capabilities to support the growth of Première Moisson’s grocery offering while continuing to provide consumers with high-quality products.”

Through the support of a specialized partner like FGF, METRO will extend its investments and resources in core food retail and distribution operations. Upon the transaction’s closing, FGF will manufacture and distribute Première Moisson products, allowing METRO to continue offering the subsidiary products to customers throughout Québec and Ontario while utilizing FGF’s manufacturing expertise, innovation capabilities and operational scale.

METRO will retain ownership of the Première Moisson brand, its network of 25 retail bakeries across Quebec, its artisanal in-store production operations, and its French pastry production facility in Vaudreuil-Dorion, which exclusively supplies its bakery network. All impacted employees will be transferred to FGF upon closing of the transaction.

The transaction is subject to customary closing conditions, with completion expected in METRO’s fourth quarter of fiscal 2026.
